Welcome to Capitaale. These Terms of Service (“Terms”) govern your access to and use of Capitaale, available at capitaale.com. Capitaale is a product of 13Venture (13venture.com), referred to as “we”, “us”, or “our” below. By creating an account or using the Service, you agree to these Terms. If you don't agree, please don't use the Service.
1. The Service
Capitaale is a self-serve software-as-a-service (SaaS) product for freelancers and small businesses to organize and track their own finances. It lets you record clients, projects, invoices, transactions, subscriptions, and tax-related data; structures that data into views (dashboards, reports, period summaries); and supports operational workflows like sending invoice emails to your own clients or exporting your data.
Capitaale is software, not a service that involves human advisors. We are not accountants, tax advisors, lawyers, or financial advisors, and no human at Capitaale or 13Venture provides personalized advice through the app or on our behalf. The Service is delivered entirely through the web application — you create an account, you enter your own data, and the software presents that data back to you. See §7 (“No financial or tax advice”) for the specific things Capitaale does not do.
2. Your account
To use Capitaale, you need to create an account. You agree to:
- Provide accurate, current information when signing up
- Keep your password secure and not share your account with others
- Notify us promptly if you suspect unauthorized access
- Be at least 18 years old, or have legal capacity to enter into a contract under your local law
You are responsible for all activity that happens under your account.
3. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in a way that infringes the rights of others
- Upload content that is illegal, harmful, fraudulent, or designed to harass others
- Attempt to gain unauthorized access to our systems, other users' accounts, or related infrastructure
- Reverse engineer, decompile, or attempt to extract the source code of the Service, except where permitted by law
- Scrape, crawl, or use automated tools against the Service without our written permission
- Resell, sublicense, or commercially exploit the Service without our agreement
- Use the Service to send spam, malware, or any unsolicited communications
4. Your data
You own all the data you enter into Capitaale (your clients, invoices, transactions, etc.). We process this data only to provide the Service to you. You can export your data at any time, and you can request deletion of your account, as described in our Privacy Policy.
5. Pricing and billing
5.1 Subscription plans
Capitaale is a paid subscription service. Three plans are offered:
- Starter — €24 per month, or €228 per year (20% off when paid annually).
- Pro — €49 per month, or €468 per year (20% off when paid annually).
- Custom — sales-led plan starting at €1,500 one-time setup fee plus €149 per month, with a 12-month minimum subscription term. The exact setup fee and monthly amount are agreed in a separate written quote.
All amounts are quoted in EUR. Customers in Serbia may pay in RSD at the equivalent local price displayed at checkout. Where required by law, VAT is added at checkout based on your billing country.
5.2 Billing and payment
Payment is processed by Polar Software, Inc., our billing provider. By subscribing, you also agree to Polar's Terms of Service. Card data is collected by Polar (using Stripe as a sub-processor) and never stored on our servers.
Auto-renewal: Monthly subscriptions renew every month, annual subscriptions renew every 12 months, until cancelled. The renewal charge will use the most recent payment method on file.
Failed payments: If a renewal payment fails, Polar will retry the payment over the following days. During that retry window, you keep access to the Service. If all retries fail, your subscription becomes inactive and the Service becomes read-only until payment is resolved.
5.3 30-day money-back guarantee
We offer a 30-day money-back guarantee on all monthly and annual Starter and Pro subscriptions. If Capitaale is not the right fit, email us at djordje.grujovic@13venture.com within 30 days of your first payment and we'll refund your subscription in full, no questions asked.
The Custom plan setup fee is refundable only as described in your signed contract — typically fully refundable before any setup work has started, pro-rated once work is in progress, and non-refundable once the customised setup has been delivered.
5.4 Cancellation
You can cancel your subscription at any time from Settings → Billing → Manage subscription, which opens the Polar customer portal. After cancellation:
- You will not be charged again.
- You keep full access to the Service until the end of the billing period you have already paid for.
- After that date, the Service becomes read-only until you reactivate.
- Custom plan subscriptions have a 12-month minimum term — early cancellation does not trigger a refund of the months remaining in the term, but no further renewals are charged.
5.5 Price changes
We may change our prices in the future. If we do, we will give you at least 30 days' notice by email, and the new price will only apply at your next renewal. You may cancel before the new price takes effect.
6. Service availability
We work hard to keep Capitaale running smoothly, but we don't guarantee uninterrupted availability. The Service may be temporarily unavailable for maintenance, updates, or due to issues beyond our control. We'll do our best to minimize disruption and to notify you of planned downtime.
7. No financial or tax advice
Capitaale is a tool to help you organize and track your finances. It is not financial, accounting, legal, or tax advice. The Service displays calculations, reminders, and reports based on the data you enter and on tax rules and reference data we've programmed in (such as Serbian and Slovenian VAT periods and the National Bank of Serbia daily exchange rates). These outputs are software-generated and may contain errors, omissions, or rules that don't reflect the latest changes in law.
Specifically, Capitaale does NOT:
- file taxes on your behalf with any tax authority,
- represent you to any tax authority, accountant, or other third party,
- provide personalized tax, financial, legal, or accounting advice,
- hold, custody, transfer, or otherwise handle your funds — we don't process payments to your clients; invoices are produced as PDFs you send yourself,
- recommend specific tax strategies, investments, business decisions, or legal positions,
- operate as a regulated financial services provider, accountant, tax preparer, payment processor, or money transmitter.
You are solely responsible for:
- the accuracy of the data you enter,
- verifying any calculations the Service displays before relying on them,
- filing your tax returns correctly and on time,
- consulting a qualified accountant, tax advisor, or lawyer for advice specific to your situation.
We strongly recommend that you have your books and tax filings reviewed by a qualified professional in your jurisdiction. Capitaale is a workspace for your own data; your accountant is the source of truth.
8. Third-party services
The Service relies on third-party providers, including Supabase for storage, Vercel for hosting, Resend for email, Google for sign-in and analytics, Sentry for error monitoring, and Polar Software, Inc. for subscription billing and payment processing. Their terms and privacy policies apply to the parts they provide. We're not responsible for the actions, content, or availability of third parties.
9. Intellectual property
The Capitaale software, design, branding, and content (excluding the data you create) are owned by 13Venture and protected by intellectual property law. We grant you a limited, non-exclusive, non-transferable license to use the Service for your own business or personal purposes for the duration of your account. This license ends when you close your account or violate these Terms.
10. Termination
You can stop using the Service and delete your account at any time from your account settings. We may suspend or terminate your access if you materially violate these Terms, if your account is inactive for an extended period, or if we're required to by law. Where possible, we'll give you advance notice and a chance to export your data.
11. Disclaimer of warranties
The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We don't warrant that the Service will be error-free, secure, or always available, or that the results obtained from using it will be accurate or reliable.
12. Limitation of liability
To the maximum extent permitted by law, 13Venture will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the Service. Our total cumulative liability for any claim related to the Service will not exceed the greater of: (a) the fees you paid us in the 12 months before the claim, or (b) EUR 100.
Nothing in these Terms limits liability that cannot legally be excluded, such as liability for gross negligence, intentional misconduct, or for damage to life or health.
13. Indemnification
You agree to indemnify and hold harmless 13Venture and its team from any claims, damages, or expenses (including reasonable legal fees) arising from your misuse of the Service or violation of these Terms.
14. Changes to the Service
We're continuously improving Capitaale and may add, change, or remove features over time. We'll try to give advance notice of significant changes, but we're not obligated to maintain any specific feature indefinitely.
15. Changes to these Terms
We may update these Terms occasionally. When we make material changes, we'll notify you by email or in the app at least 30 days before they take effect. If you keep using the Service after the new Terms apply, you accept them. If you don't agree, you can close your account.
16. Governing law and disputes
These Terms are governed by the laws of the Republic of Serbia, without regard to conflict-of-law principles. Disputes arising out of or related to these Terms will be resolved by the competent courts of Belgrade, Serbia, except that consumers may always rely on the mandatory protections of the law of their country of residence.
